Valluvan Tamil Academy legal committee will act as advisors as per Board of Directors request and guide the board of directors about possible legal issues as requested to do so by the Board.
- Legal Committee Scope:
- Any third-party contracts
- MoU (Memorandum of Understanding) documents
- County contracts
- Safety Officer contracts
- Supplier contracts
- VTA Parents and Volunteers Consent form, Digital data sharing and any other disclosures/contracts if any.
- Bylaw changes
- Any internal and external changes that may lead to possible legal issues/risks.
- Fourth Party engagement disclosures (for example, A fourth party vendor is one whom you don’t have a direct contract with; however, your vendor does have a contract with them for a product or service.)
- Any third-party contracts
- Review and provide comments on statements, guidelines, proposed policies, reports, and other Issues as requested.
- Legal committee will work with Board of Directors on the below legal responsibilities of a nonprofit board:
- Duty of care: Board members are expected to actively participate in organizational planning and decision-making and to make sound and informed judgments.
- Duty of loyalty: When acting on behalf of the organization, board members must put the interests of the nonprofit before any personal or professional concerns and avoid potential conflicts of interest.
- Duty of obedience: Board members must ensure that the organization complies with all applicable federal, state, and local laws and regulations, and that it remains committed to its established mission.
